Terms and Conditions of Contract for Services
These Terms and Conditions ("Agreement") govern the provision of services by Baty Land & Forestry Management LLC ("Company") to the client ("Client"). By engaging our services, the Client agrees to be bound by the terms and conditions set forth in this Agreement.
- Scope of Services: The Company will provide the agreed-upon services, which may include land clearing, forestry mulching, stump grinding, and related services, as outlined in the project proposal or work agreement.
- Pricing and Payment: The pricing for services will be as specified in the project proposal or work agreement. Payment terms and methods will also be outlined in the proposal or agreement. The Client agrees to pay the agreed-upon amount for services rendered within the specified time-frame.
- Amendments and Changes: Any changes or amendments to the project scope, schedule, or pricing must be agreed upon in writing by both parties. The Company reserves the right to revise the project schedule or pricing if changes are requested by the Client.
- Client Responsibilities: The Client agrees to provide necessary access to the property and ensure that it is free from any hazards or obstacles that may impede the provision of services. The Client is responsible for obtaining any required permits or permissions necessary for the project.
- Liability and Insurance: The Company will exercise reasonable care and skill in the provision of services. However, the Client acknowledges that land clearing and related activities involve inherent risks, and the Company shall not be held liable for any damages, injuries, or losses resulting from the services, except in cases of gross negligence or willful misconduct.
- Indemnification: The Client agrees to indemnify and hold harmless the Company, its employees, and contractors from any claims, liabilities, damages, or expenses arising out of or in connection with the services provided, except in cases of gross negligence or willful misconduct by the Company.
- Termination: Either party may terminate this Agreement in writing if the other party fails to fulfill its obligations under this Agreement. The termination will be effective upon receipt of written notice.
- Confidentiality: Both parties agree to keep any confidential information disclosed during the provision of services confidential and not to disclose or use such information for any purpose other than the project.
- Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the state in which the services are performed. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in that state.
- Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the provision of services and supersedes any prior agreements or understandings, whether written or verbal.
By engaging our services, the Client acknowledges that they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
